Software License Agreement for Coderstm

This Software License Agreement ("Agreement" or "EULA") is a legal contract between Coderstm (coderstm.com) ("Company," "we," "us," or "our") and you ("Licensee," "Customer," or "you") who has purchased or acquired a license to the software, source code, files, mobile application templates, and documentation associated with Coderstm (collectively, the "Software"). This Agreement is fully integrated into and subject to our primary Terms & Conditions, and operates in conjunction with our Technical Support & Maintenance Policy, Refund Policy, and Privacy Policy.
By purchasing a license key, downloading the source code, cloning our repositories, or installing the Software on any server, you explicitly agree to be bound by the terms of this Agreement. If you do not agree to these terms, you have no right to download, install, modify, run, or utilize the Software, and you must destroy all files in your possession immediately.
1. License Grant and Lifetime Ownership
Subject to timely payment of the licensing fees via our authorized payment channels (PayPal or Razorpay) and compliance with this Agreement, Coderstm grants you a perpetual, limited, non-exclusive, non-sublicensable, and revocable license to download, install, modify, and run the Software on a server infrastructure controlled strictly by you. Coderstm products are sold under a **one-time payment model**, providing lifetime ownership of the purchased version with no mandatory recurring license fees.
2. License Tiers and Permitted Usage
To accommodate both developers building personal applications and entrepreneurs launching commercial platforms, we offer two distinct license tiers. Your usage must strictly align with the specific tier you purchased:
A. Regular License
Intended for personal projects, internal business tools, or exactly one (1) client project where end-users are NOT charged for access to the software. Permitted uses and strict limitations include:
- Single Production Installation: Permits installation and operation of the Software on exactly **one (1) production domain** or sub-domain.
- Non-Commercial Usage: You are strictly prohibited from utilizing the Software to operate a commercial Software-as-a-Service (SaaS) business, charging subscription fees, selling memberships, or monetizing access to the Software's functional features.
- No Multi-Tenant Resale: You may not utilize the Software as a multi-tenant platform to distribute sub-accounts, charge end-users, or lease the system to third parties.
- Developer/Agency Restriction: You may use this license to set up a single, non-commercial installation for exactly one (1) client. Ownership of the license must be transferred completely to the client, and you may not retain rights to run the installation for other clients under the same license key.
- Internal Modification: Source code modifications are allowed strictly for internal operational adjustments.
B. Extended License
Architected specifically for developers, agencies, and SaaS founders who intend to build a commercial SaaS application, charge subscription fees, or monetize memberships. Permitted uses include:
- Commercial Monetization: Permitted to operate the Software as a revenue-generating Software-as-a-Service (SaaS) platform, charging end-users monthly/annual subscription fees, managing opt-in subscriber communication packages, or managing member check-in packages for profit.
- Production Deployment Scope: Permits deployment across the maximum number of domains, locations, or clients specified in the product's official feature matrix at the time of purchase (such as unlimited client setups under the Agency tier).
- White-Label Customization: Permits complete white-label rebranding, customizing logos, applying company styling, and presenting the application under your custom brand, provided white-label capabilities are explicitly described in the product specifications.
- Strict Resale Restriction: The Extended License does **NOT** authorize you to resell, redistribute, share, sublicense, or package the **raw backend source files, Vue components, or Capacitor mobile app templates** themselves. The commercial permission applies strictly to renting out access to the *compiled, running application interface* to end-users.
3. Absolute Source Code Redistribution & Resale Prohibitions
Regardless of whether you purchased a Regular or Extended License, the following actions represent a severe violation of our copyright and intellectual property rights. You agree that **you shall not**:
- No Public Distribution: Publish, share, host, leak, or upload any portion of the Coderstm unencrypted source files, database migrations, theme layouts, assets, or repository structures to any public file host, forum, cloud drive, or public version control system (such as public GitHub, GitLab, or Bitbucket repositories).
- No Marketplace Resale: Resell the Software (either modified or unmodified) on third-party digital asset marketplaces, software stores, or auction platforms (including but not limited to Envato, Codester, Gumroad, or private web stores).
- No Software Cloning: Package, bundle, or modify the Software to create a derivative "SaaS starter kit," "boilerplate template," or competing software product designed for sale or license to other developers.
4. Source Code Modifications and Associated Exclusions
- Developer Rights: Coderstm proudly provides 100% unencrypted source code (Laravel backend, Vue frontend, mobile app codebases) to give you absolute control. You possess the full right to modify, add, or alter the PHP and Javascript files to meet your business logic or custom branding requirements.
- Support Void Waiver: Making any custom changes to the official codebase **immediately and completely voids your eligibility for standard technical support.** Coderstm's development team cannot debug, audit, or troubleshoot customized code structures.
- Operational Risk & Safety: You assume 100% of the operational risk, security liability, and financial expense related to custom modifications. We are not liable for database corruption, security breaches, server crashes, or performance downgrades caused by your custom modifications.
- Official Update Merging: Future official software updates, security patches, and feature additions will be distributed under our standard repository files. Merging, refactoring, and maintaining your custom adjustments with future Coderstm releases is your sole responsibility.
5. Intellectual Property & Copyright Retention
The Software, including its compiled structures, unencrypted source code, database architectures, graphics, visual assets, icons, logic configurations, and documentation, are protected by international copyright laws, treaty provisions, and intellectual property statutes. Coderstm retains **100% absolute ownership and copyright** of the Software and all core brand assets. Your purchase represents a limited operational license, and no ownership transfer or intellectual property assignment occurs under this Agreement.
6. Telemetry and Licensing Audits
To prevent illegal software redistribution, corporate piracy, and unauthorized domain installations, the Software may integrate basic, non-intrusive domain licensing checks. You agree that:
- License Key Validation: The Software may periodically query Coderstm's secure license servers to verify the validity of your license key, active software version, and production domain name.
- No Personal Data Telemetry: These validation checks do NOT collect, transmit, or audit your operational database records, customer details, or email list contents. The query is strictly limited to license validation metadata.
- IP Blocking: Coderstm reserves the right to deactivate licensing authentications, suspend downloads, and block domains found to be running pirated copies, using duplicate license keys, or violating the terms of this EULA.
7. Termination of License
This License remains in effect perpetually unless terminated. Coderstm reserves the absolute right to terminate your license, deactivate your license keys, block future code updates, and restrict repository access immediately, without warning or refund, if:
- You breach any material term or restriction in this EULA.
- You engage in payment fraud, chargeback abuse, or unauthorized credit card disputes.
- You publicly share or redistribute the unencrypted source code.
- You run the Software on more production domains than allowed under your license.
Upon termination, your license is revoked, and you must immediately delete all copies of the Software in your possession and shut down all active server installations.
8. Governing Law, Jurisdiction, and Legal Inquiries
This License Agreement, and any disputes, claims, or legal matters arising from or in connection with it, shall be governed exclusively by, and construed in accordance with, the laws of the Republic of India. You and Coderstm explicitly agree that **any legal actions, claims, or disputes must be resolved solely and exclusively in the Barrackpore Sub-Divisional Court in North 24 Parganas, West Bengal, India.**
